By accessing or using Novacom's website and services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, and clients of Novacom's AI software development, cloud migration, and digital transformation services.

Novacom provides the following professional services:

• AI Software Development: Custom AI applications, machine learning solutions, and intelligent automation systems
• Cloud Migration: Cloud strategy, migration planning, and implementation services for AWS, Azure, and GCP
• Digital Transformation: Enterprise software development, system integration, and technology consulting
• Technical Consulting: Architecture design, security assessments, and technology advisory services

Specific service terms, deliverables, timelines, and pricing are defined in separate service agreements or statements of work executed between Novacom and the client.

When using our services, you agree to:

• Provide accurate and complete information when requesting services or consultations
• Cooperate with our team and provide necessary access to systems, data, and resources as required
• Maintain the confidentiality of any proprietary information shared by Novacom
• Use our services only for lawful purposes and in compliance with applicable laws and regulations
• Not attempt to reverse engineer, modify, or distribute any software or intellectual property provided by Novacom
• Pay all fees and charges according to the agreed payment terms

Novacom's Intellectual Property:

• All proprietary methodologies, frameworks, and pre-existing intellectual property remain owned by Novacom
• Our website content, logos, trademarks, and branding materials are protected by intellectual property laws
• Any general knowledge, techniques, or improvements developed during service delivery may be retained by Novacom

Client Intellectual Property:

• Clients retain ownership of their pre-existing intellectual property, data, and business information
• Custom software and solutions developed specifically for clients are typically transferred to the client upon full payment
• Specific intellectual property terms are defined in individual service agreements

• Pricing: All prices are quoted in USD unless otherwise specified and are subject to applicable taxes
• Payment Schedule: Payment terms are typically net 30 days from invoice date, unless otherwise agreed
• Late Payments: Late payments may incur interest charges and may result in suspension of services
• Disputes: Payment disputes must be raised within 30 days of invoice date
• Refunds: Refund policies are defined in individual service agreements
• Expenses: Client may be responsible for reasonable out-of-pocket expenses incurred during service delivery

Both parties agree to:

• Maintain strict confidentiality of all proprietary and sensitive information shared during the engagement
• Use confidential information solely for the purpose of providing or receiving services
• Implement appropriate security measures to protect confidential information
• Return or destroy confidential information upon termination of the engagement
• Not disclose confidential information to third parties without written consent

For sensitive projects, separate Non-Disclosure Agreements (NDAs) may be executed to provide additional protection.

To the maximum extent permitted by law, Novacom's liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

Novacom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

We provide services on an "as is" basis and make no warranties beyond those expressly stated in individual service agreements.

Either party may terminate services:

• For convenience with 30 days written notice
• Immediately for material breach of these terms or service agreements
• Immediately for non-payment of fees after appropriate notice

Upon termination, the client shall pay for all services performed up to the termination date, and both parties shall return confidential information as specified in the confidentiality provisions.

These Terms of Service are governed by the laws of the United Arab Emirates. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Dubai, UAE.

We will make reasonable efforts to resolve disputes through direct negotiation before pursuing formal legal proceedings.

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website.

Continued use of our services after changes are posted constitutes acceptance of the modified terms. We recommend reviewing these terms periodically.

For significant changes, we will make reasonable efforts to notify existing clients via email.
